Si me vas a romper una pierna...


Era yo muy joven cuando un cliente me enseñó que una estrategia litigiosa usual era la de que "si me vas a romper una pierna, te voy a romper una pierna". La experiencia me ha enseñado que esta estrategia tiene muchas aplicaciones, no siempre éticas o no siempre útiles, pero es un hecho.

Reconvención

Una de sus manifestaciones es la contrademanda, jurídicamente conocida como reconvención. En el litigio judicial mercantil, en México, cuando el demandado tiene una demanda contra el demandante, debe contestar la demanda y, al mismo tiempo, presentar su reconvención (Cco 1379 y 1380, CFPC 329 y 330). El propósito es respetar el principio, que se suele denominar como de la continencia de la causa, según el cual todas las cuestiones sobre una misma controversia se deben resolver en un mismo juicio.

La reconvención también se usa como estrategia en el regateo. Supongamos que "A" demanda que "B" le pague cien. Si, en esas condiciones, las partes se sientan a negociar, las posiciones serán de cien contra cero. No es probable que la transacción sea que "B" pague los cien demandados; tampoco que "B" no pague nada. En el código genético de todos los negociantes está la idea de que la otra parte tiene que ceder algo. Antes de sentarse a negociar, "B" necesitará emparejar las cosas, en consecuencia, negará la demanda y contrademandará, de "A", el pago de cien.

Cuando se manejan esas estrategias se camina por senderos estrechos, delicados y no siempre éticos. Es cierto que se debe actuar con mucha flexibilidad y no desechar sin consideraciones una contrademanda. Un buen abogado es prudente, así como no desecha sin más la reconvención de su cliente, tampoco inventa ni introduce pleitos frívolos. Con eso sólo se enreda la situación, ocasionando al cliente adicionales gastos y tensiones. También, el endurecimiento de las posiciones, suele hacer mas difíciles las soluciones amigables. 

La casa deshabitada

Con Mantilla Molina aprendí que la misión del abogado es resolver problemas humanos. En muchas ocasiones bastará con mostrar fortaleza y sentido común para obtener un acuerdo razonable 

También es bueno buscar que el cliente haga conciencia. Suelo invitar mis clientes para que, en unión conmigo, hagan números y evalúen desgastes emocionales, operativos y comerciales. Cuando mis clientes me preguntan cual es su peor escenario, les contesto que es perder el pleito. Y cuando me preguntan cual es el mejor, respondo que es no ganar el pleito. No les gusta y se molestan, pero entienden cuando les hago ver lo que les costará, en tiempo y desgastes, ganar. 

Todos los abogados deberían, para hacer conciencia, leer La casa deshabitada (Bleak House) de Dickens. Los mejores elogios que he recibido, han sido de clientes agradecidos porque los convencí de que aceptaran un arreglo que no les gustaba demasiado. Me ha llamado la atención lo consistente de los comentarios: "— : "Al principio me sentía molesto, conforme transcurrió el tiempo, aprecié la tranquilidad y los beneficios de la transacción."

Chantajes

Lo cierto es que bastantes litigantes recurren a estrategias para crear presiones, financieras u operacionales, con la finalidad de obligar a sus contrarios a preferir la terminación del pleito a cualquier costa. Así, buscan obtener providencias precautorias inapropiadas, demandar reconvenciones de grandes cuantías y otros más. Los llamaré chantajes legales; aunque no son tan legales.

Sistemas para cuantificar las costas. Aranceles

En este caso me pienso referir a tácticas para encarecer injustificadamente las costas del arbitraje. Principalmente a través de presentar demandas reconvencionales cuantiosas. Pero, para entender las maniobras y las soluciones, necesito antes describir los sistemas habituales para determinar los honorarios de los árbitros y los costos administrativos de la institución administradora o, en su caso, de la autoridad nominadora.

Prácticamente existen tres sistemas: (i) determinar los costos con base en la cuantía del negocio; (ii) fijar los honorarios por el número de horas trabajadas por los árbitros, de acuerdo a sus cotizaciones; en los arbitrajes administrados fijar la cuota administrativa conforme a un arancel; (iii) convenir, árbitros y partes, en una suma determinada.

El sistema de la cuantía y el arancel está muy extendido. Sobre todo en países que están fuera de la experiencia anglosajona. Por ejemplo, la CCI, el CAM y la CANACO tienen publicados aranceles que, partiendo de la cuantía del negocio, determinan un máximo y un mínimo. Por ejemplo, conforme al arancel de la CCI, cualquier arbitraje con cuantía máxima de 50,000*, el mínimo es de 3,000 y el máximo es el 18,0200% de la cuantía en litigio y que puede llegar hasta 9,010. El siguiente renglón considera el costo de arbitrajes cuya cuantía fluctúa entre 50,000 y 100,000. Por los primeros 50,000 el mínimo son 3,000 y el máximo 9,010. Por el tramo entre 50,000 y 100,000, el mínimo se obtiene de sumar 3,000 mas el 2.650% de la suma que corresponda, según el caso, entre los 50,000 y los 100,000. El máximo serán 9010, mas el 13.5680% de lo que exceda los primeros 50,000.

También hay un arancel para los gastos administrativos.

El calculador

Todo lo anterior puede ser muy complicado a la hora de informar al cliente en cuanto se estima el costo del tribunal arbitral y de la institución. 

Las instituciones arbitrales que se manejan con este sistema, tienen un calculador de honorarios en su página de internet. Por ejemplo, en la página de la CCI (iccarbitration.org), está el Arbitration Cost Calculator. Usando la línea del arancel que arriba describí, pongo que el costo del arbitraje será de 75,000, con un árbitro. El calculador me indica que el mínimo del honorario será de 3,663, el promedio de 8,032 y el máximo de 12,402. Los gastos administrativos serán de 4,182. Si pongo tres árbitros, me da la suma que resulta de calcular los honorarios de un árbitro, multiplicando la suma por tres.

Para ejemplificar la diferencia, en el caso de un árbitro el monto medio de las provisiones será de 12,215 y con tres árbitros de 28,279.

El calculador advierte que el resultado no es vinculante para la CCI. Solo es una estimación de los costos que probablemente resulten y no contiene un estimado de los gastos de los árbitros; por ejemplo, los viáticos por trasladarse al lugar de la audiencia. También advierte que la Corte puede, y regularmente lo hace, fijar los honorarios de los árbitros en cantidades mayores o menores que el promedio.

Sobre esas bases, la Corte hace cálculos y pide a las partes que le depositen la parte que corresponde a cada una de ellas. En un caso normal con dos partes, en el ejemplo de arriba y con un árbitro, cada parte tendría que adelantar 6,101.5.

If you’re breaking my leg...

I was very young when a client taught me that a common litigious strategy was that “if you’re to break my leg, I am going to break your leg.” The experience taught me that this strategy has many applications, not always ethical or useful ones, but it is a fact.

Counterclaims

One of its manifestations is the counterclaim. In judicial litigation in Mexico, when the defendant has a claim against the claimant, it usually answer the claim and, at the same time, file a counterclaim (Code of Commerce 1379 and 1380, CFPC 329 and 330). The purpose is to respect the principle, usually known in Spanish as continencia de la causa, according to which all matters related to the same dispute must be solved in the same proceeding.

The counterclaim is also used as a bargaining strategy. Let us suppose that “A” claims from “B” the payment of 100. If, under those conditions, the parties engage in negotiations, the positions will be 100 against 0. It is not probable that the transaction will consist in “B” paying the 100 claimed; nor in “B” paying nothing. In the genetic code of all negotiators there is the idea that the other party must give in to something. Before seating down to negotiate, “B” will need to level things, in consequence, it will deny the claim and will file a counterclaim against “A” to be paid 100.

When these strategies are handled one walks through narrow, delicate, and not always ethical paths. It is true that one must act with much flexibility and not prematurely discard a counterclaim. A good lawyer is prudent, so such as it does not waive a counterclaim from its client, nor will it invent or introduce frivolous claims. With this, not only is the situation tangled, causing the client additional costs and tensions. Furthermore, unfounded claims harden the positions making more difficult reach amicable solutions.

Bleak House

I learned from my great mentor, Mantilla Molina, that the lawyers’ mission is to solve human problems. In many occasions it will suffice to show strength and common sense to obtain a reasonable agreement.

It is also good to make the client conscious. I usually invite my clients to consider together circumstances, numbers and evaluate emotional, operative and commercial wear. When my clients ask me which is their worst scenario, losing the dispute is my answer. When they ask for the best, not winning the dispute is my answer. They don’t like it and get upset, but they do understand when I make them see what it will cost, in time and wears, to win.

To make conscience, all lawyers should read Dickens’s Bleak House. The best praises I’ve received have been from clients that are grateful because I convinced them to accept a settlement that was not very much to their liking. The consistency of the commentaries has caught my attention: "— : “ At the beginning I was upset, but as time elapsed, I valued the tranquility and benefits of the settlement."

Blackmail

The truth is that many litigators recur to strategies to create pressures, whether financial or operational, with the purpose of forcing the other party to prefer the termination of the dispute rather than anything else. That way, they seek to obtain inappropriate provisional measures, file counterclaims for considerable amounts and some others. I will call these legal blackmail; albeit not so much legal.

Systems to Determine Costs. Costs Scales

In this case I intend to refer to tactics to make the costs of arbitration more expensive with no justification. Mainly, through the presentation of huge counterclaims. But to understand the maneuvers and solutions, first I need to uncover the systems commonly used to determine the fees of the arbitrators and the administrative costs of the arbitral institution, or, as the case may be, the appointing authority.

There are practically three systems: (i) determining the costs based on the amount in dispute; (ii) determine the fees by the number of hours of work by the arbitrators, according to their quotes; in institutional arbitrations, fix the administrative fees based on a costs scale; (iii) to reach an agreement, between the arbitrators and the parties, on a determined amount.

The system of amount in dispute and costs scale is very common. Especially in countries outside the Anglo-Saxon experience. For example, the ICC, CAM and CANACO have published costs scales which, based on the amount in dispute, determine a maximum and minimum. For example, pursuant to the ICC cost scale, any arbitration with a maximum amount in dispute of 50,000*, the minimum is of 3,000 and the maximum is the 18,0200% of the amount in dispute and which may amount up to 9,010. The next scenario considers the costs for arbitrations which amount in dispute goes from 50,000 and 100,000. Fort he first 50,000 the minimum is 3,000 and 9,010 is the maximum. For the part that goes from 50,000 to 100,000, the minimum is obtained by adding 3,000 to the 2.650% of the corresponding amount between 50,000 and the 100,000. The maximum will be 9010, plus the 13.5680% of what exceeds the first 50,000.

There is also a cost scale for administrative costs.

The Calculator

All the above is quite complicated at the moment of informing the client which is the estimate for the cost of the arbitral tribunal and the institution.

Arbitral institutions that are managed with this system, have a fees calculator in their web page. For example, in the ICC page (iccarbitration.org) one finds the Arbitration Cost Calculator. By using the line of costs scale I described above, I specify that the cost of arbitration will be of 75,000, with one arbitrator. The calculator indicates that the minimum fees will be of 3,663, the average of 8,032 and a maximum of 12,402. The administrative expenses will amount to 4,182. If I use three arbitrators, I will obtain the amount resulting from calculating the fees of one arbitrator, multiplied by three.

To exemplify the difference, in the case of one arbitrator the average amount for the costs will be 12,215 and with three arbitrators, 28,279.

The calculator warns that the result is not binding on the ICC. It is just an estimate of the costs that will probably result and does not contain an estimate of the arbitrators’ expenses; for example, travel expenses for the hearing. It also warns that the Court may, and regularly it does, fix the fees of the arbitrators in higher or lower amounts than the average.

In these bases, the Court makes its calculations and asks the parties to deposit the part that corresponds to each one of them. In a normal case with two parties, in the example above and with one arbitrator, each party will have to advance 6,101.5.
